1. Introduction

Welcome to distip, having its registered office at SCF 123, 1st Floor, Radha Palace, Civil Line, Gurudwara Road, Gurugram – 122001, Haryana, India.

These Terms & Conditions (“Terms”) govern the access to and use of distip’s website, software platforms, APIs, communication tools, and messaging services including WhatsApp Official Business API and Rich Communication Services (RCS) (collectively referred to as the “Services”).

By accessing, registering, or using the Services provided by distip, you agree to comply with and be legally bound by these Terms. If you do not agree with any part of these Terms, you must refrain from using the Services.

2. Definitions

For the purposes of these Terms:

  • “Company,” “We,” “Us,” or “Our” refers to distip.
  • “User,” “Client,” or “You” refers to any individual, business, or entity accessing or using the Services.
  • “Platform” means the digital infrastructure, dashboards, APIs, and tools provided by distip.
  • “Meta” refers to Meta Platforms, Inc., including WhatsApp.
  • “RCS” refers to Rich Communication Services messaging protocol.
  • “Applicable Law” means laws of India including IT Act 2000 and related rules.

3. Acceptance of Terms

By registering for an account, integrating our API, or sending communications through distip, you confirm that:

  • You are authorized to bind your business entity.
  • You have read and understood these Terms.
  • You agree to comply with Meta Business Policies and telecom regulations in India.

Continued use of the Services constitutes acceptance of any updates to these Terms.

4. Description of Services

distip provides cloud-based communication solutions including:

  • WhatsApp Official Business API access
  • RCS Business Messaging services
  • Messaging automation tools
  • Customer engagement dashboards
  • Campaign management systems
  • API integrations

distip acts as a technology facilitator and does not control Meta or telecom operator networks.

5. Eligibility

To use our Services, you must:

  • Be at least 18 years of age.
  • Be legally capable of entering binding contracts.
  • Have a valid business registration (where applicable).
  • Comply with Indian telecom, IT, and data protection laws.

distip reserves the right to reject or suspend accounts that fail verification requirements.

6. Account Registration

Users must provide accurate and complete information during registration.

You agree to:

  • Maintain confidentiality of login credentials.
  • Notify distip immediately of unauthorized access.
  • Ensure all business details remain updated.

distip is not liable for losses arising from compromised credentials due to User negligence.

7. User Responsibilities

Users agree to:

  • Obtain explicit consent from recipients before sending WhatsApp or RCS messages.
  • Avoid sending spam, misleading, abusive, or unlawful content.
  • Comply with Meta Commerce Policy and WhatsApp Business Policy.
  • Maintain opt-in and opt-out mechanisms.
  • Respect Do Not Disturb (DND) regulations under TRAI guidelines.

Any misuse may result in suspension without notice.

8. Payment & Billing Terms

All services provided by distip are subject to pricing agreed upon at the time of onboarding.

  • Payments must be made in advance unless otherwise agreed.
  • Meta conversation-based charges and telecom charges are billed separately.
  • GST and applicable taxes will be added.
  • Late payments may result in suspension.

All fees are non-refundable unless otherwise stated in writing.

9. Subscription Renewal & Termination

Subscriptions may renew automatically unless terminated.

distip may suspend or terminate accounts for:

  • Policy violations
  • Non-payment
  • Legal or regulatory orders

Users may terminate by providing written notice. Outstanding dues must be cleared before termination.

10. Use of WhatsApp Official API & RCS

distip facilitates access to WhatsApp and RCS platforms. However:

  • Meta independently reviews and approves WhatsApp accounts.
  • RCS delivery depends on telecom operators.
  • Template messages must comply with platform policies.
  • Message categories must be correctly declared (Utility, Marketing, Authentication).

distip does not guarantee template approval or message delivery rates.

11. Message Delivery & Compliance Policy

Message delivery is subject to:

  • Recipient availability
  • Platform rules
  • Network conditions
  • Anti-spam controls

Users are solely responsible for ensuring lawful content.

distip reserves the right to block campaigns violating anti-spam laws or Meta guidelines.

12. Intellectual Property Rights

All platform software, dashboards, documentation, and trademarks related to distip remain its exclusive intellectual property.

Users retain ownership of their content but grant distip a limited license to process such content solely to provide Services.

Unauthorized copying, reverse engineering, or redistribution is prohibited.

13. Confidentiality

Both parties agree to maintain confidentiality of proprietary and sensitive information shared during the business relationship.

Confidential information shall not be disclosed except:

  • As required by law
  • To authorized employees or service providers
  • With prior written consent

14. Disclaimer of Warranties

Services are provided on an “as-is” and “as-available” basis.

distip does not guarantee:

  • Uninterrupted service
  • Error-free performance
  • Message delivery success rates
  • Platform uptime from third-party providers

15. Limitation of Liability

To the maximum extent permitted under Indian law:

distip shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits or business interruption
  • Suspension by Meta or telecom operators

Total liability shall not exceed fees paid in the preceding three months.

16. Indemnification

Users agree to indemnify and hold harmless distip from claims arising out of:

  • Illegal messaging
  • Violation of platform policies
  • Data privacy breaches caused by User
  • Regulatory penalties due to User content

17. Governing Law (India)

These Terms are governed by the laws of India.

Courts located in Gurugram, Haryana shall have exclusive jurisdiction.

18. Changes to Terms

distip reserves the right to update these Terms at any time.

Continued use of Services after updates constitutes acceptance of revised Terms.
