Introduction

Welcome to Distil (“Company”, “we”, “our”, “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, software platforms, communication services, WhatsApp Official API integrations, Rich Communication Services (RCS) messaging solutions, and related services (collectively, the “Services”).

By accessing or using our Services, you agree to be legally bound by these Terms in accordance with the laws of India. If you do not agree, you must not use our Services.

Definitions

For the purpose of these Terms:

  • “Account” means a registered profile created to access Distil’s Services.
  • “User”, “Client”, or “You” means any individual or entity using our Services.
  • “Platform” refers to Distil’s website, dashboard, APIs, messaging infrastructure, and integrations.
  • “WhatsApp Official API” refers to the business messaging services provided via Meta Platforms, Inc..
  • “RCS” refers to Rich Communication Services messaging supported by telecom providers and platforms such as Google LLC.
  • “Applicable Law” means laws in force within India, including the Information Technology Act, 2000 and related rules.

Acceptance of Terms

By registering an account, accessing the Platform, integrating APIs, or using our Services, you confirm that:

  • You are legally capable of entering into binding contracts under Indian law.
  • You have read, understood, and agreed to these Terms.
  • You will comply with all applicable laws, industry regulations, and third-party platform policies (including Meta and RCS messaging policies).

Description of Services

Distil provides enterprise communication and messaging enablement solutions, including but not limited to:

  • WhatsApp Official API onboarding and messaging integration
  • RCS business messaging solutions
  • Campaign management tools
  • Messaging automation
  • Customer engagement workflows
  • API integrations for businesses
  • Reporting and analytics dashboards

Distil acts as a technology service provider facilitating business messaging through authorized platforms and telecom partners. We do not guarantee uninterrupted availability of third-party services.

Eligibility

You may use our Services only if:

  • You are at least 18 years of age.
  • You represent a legally registered business or lawful enterprise.
  • Your intended use complies with Indian law and messaging platform policies.

Distil reserves the right to refuse service to any entity engaged in prohibited industries, unlawful activities, or high-risk categories.

Account Registration

To access certain Services, you must:

  • Provide accurate and complete business information.
  • Maintain confidentiality of login credentials.
  • Notify us immediately of unauthorized access.

You are fully responsible for all activities conducted under your Account.

Distil reserves the right to suspend or terminate accounts that provide false information or violate compliance policies.

User Responsibilities

You agree that you will:

  • Use messaging services only with proper recipient consent.
  • Not send spam, unsolicited commercial messages, or misleading content.
  • Not transmit illegal, abusive, defamatory, or fraudulent content.
  • Comply with WhatsApp Business Policy and RCS guidelines.
  • Maintain records of customer opt-ins.

You are solely responsible for message content sent through the Platform.

Payment & Billing Terms

Where applicable:

  • Fees are charged as per agreed pricing plans.
  • Messaging charges may include WhatsApp conversation fees and RCS carrier fees.
  • Payments must be made in advance unless otherwise agreed.
  • Taxes including GST shall be applicable as per Indian law.

Failure to pay may result in suspension of Services.

Subscription Renewal & Termination

Subscriptions may:

  • Renew automatically unless cancelled prior to renewal date.
  • Be terminated by Distil for breach of Terms.
  • Be cancelled by the Client with prior written notice.

Upon termination:

  • Access to the Platform may be revoked.
  • Outstanding dues remain payable.
  • Data retention shall be handled as per our Privacy Policy.

Use of WhatsApp Official API & RCS

Distil provides integration access to:

  • WhatsApp Business Platform managed under policies of Meta Platforms, Inc..
  • RCS Business Messaging facilitated through partners including Google LLC and telecom operators.

Users must:

  • Obtain valid user opt-ins.
  • Use pre-approved message templates where required.
  • Avoid prohibited categories such as adult content, gambling (without license), or deceptive financial schemes.

Distil does not control policy enforcement decisions made by Meta or RCS carriers.

Message Delivery & Compliance Policy

Message delivery depends on:

  • Platform approval
  • Template approval
  • User opt-in status
  • Telecom operator filters

Distil does not guarantee delivery rates or message visibility.

Non-compliance may result in:

  • Template rejection
  • Account suspension
  • Permanent ban from messaging platforms

Intellectual Property Rights

All Platform software, branding, design elements, documentation, and proprietary systems are the intellectual property of Distil.

Users are granted a limited, non-transferable license to use the Platform strictly for business communication purposes.

Unauthorized copying, reverse engineering, or resale is prohibited.

Confidentiality

Both parties agree to maintain confidentiality of:

  • Business data
  • Customer information
  • Technical documentation
  • Pricing terms

Confidential information shall not be disclosed without written consent unless required by law.

Disclaimer of Warranties

Services are provided on an “as is” and “as available” basis.

Distil disclaims:

  • Any guarantee of uninterrupted service.
  • Any warranty of merchantability or fitness for a specific purpose.
  • Responsibility for third-party platform outages.

Limitation of Liability

To the maximum extent permitted by Indian law:

  • Distil shall not be liable for indirect, incidental, or consequential damages.
  • Total liability shall not exceed the fees paid by the Client in the preceding three (3) months.

This limitation applies regardless of legal theory.

Indemnification

You agree to indemnify and hold harmless Distil, its directors, employees, and partners against:

  • Claims arising from unlawful messaging.
  • Violation of third-party rights.
  • Regulatory penalties due to your non-compliance.

Governing Law (India)

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of courts located in Aurangabad, Maharashtra.

Changes to Terms

Distil reserves the right to modify these Terms at any time.

Updated versions will be published on our website with revised effective dates. Continued use constitutes acceptance of changes.
